Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Sprinno platform, products, and services (“Services”) operated by Veesta Labs (“Sprinno”, “we”, “us”, or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Platform Overview
Sprinno is a Diligence OS — a technical due diligence platform that connects to source code repositories (e.g., GitHub) and performs continuous, deterministic risk scoring across multiple domains including:
- Dependency and security vulnerability analysis (CVE scanning)
- Test coverage and code quality assessment
- Team health and bus risk evaluation
- Git and development velocity metrics
- Infrastructure and secrets hygiene auditing
- AI governance review (for AI-native companies)
- IP and licence register maintenance
The platform is designed for use by investors conducting pre-investment technical diligence, startups demonstrating engineering maturity, and portfolio managers monitoring ongoing technical risk.
2. Eligibility & Account Registration
You must be at least 18 years of age and capable of forming a binding contract to use the Services. By creating an account, you represent that:
- All information you provide is accurate, current, and complete
- You have the authority to bind the entity you represent (if applicable)
- You will maintain the security and confidentiality of your account credentials
- You will immediately notify us of any unauthorised access or use of your account
You are responsible for all activity conducted under your account, regardless of whether you authorised it.
3. Repository Access & Authorisation
When you connect a repository to Sprinno, you represent and warrant that:
- You have legal authority to grant Sprinno read access to the repository
- You have obtained all necessary consents from repository owners and contributors
- Connecting the repository does not violate any agreement with a third party
- You are not connecting repositories containing classified, government-restricted, or export-controlled materials
Sprinno accesses repositories in read-only mode. We do not write to, modify, or store the full source code of connected repositories. Our analysis processes metadata, dependency manifests, configuration files, commit history, and structural indicators required for risk scoring.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or to violate any applicable law or regulation
- Connect repositories to which you do not have authorised access
- Attempt to reverse-engineer, decompile, or extract the scoring algorithms or proprietary methods of the platform
- Use automated systems (bots, scrapers, crawlers) to access the Services outside of our published API
- Interfere with or disrupt the integrity or performance of the Services
- Share access credentials or allow others to use your account
- Use Sprinno reports in a manner that defames or harms the subjects of the reports beyond legitimate investment decision-making
- Misrepresent Sprinno reports as legal opinions, security certifications, or compliance attestations
5. Intellectual Property
Our IP: The Sprinno platform, scoring algorithms, analysis frameworks, report templates, user interface designs, documentation, and all associated intellectual property are owned exclusively by Veesta Labs. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the Services.
Your Data: You retain all ownership rights to your repositories, source code, and any data you provide. By connecting a repository, you grant Sprinno a limited, non-exclusive, revocable licence to access and analyse the repository data solely for the purpose of providing the Services.
Reports: Diligence reports generated by Sprinno are owned by the account holder who commissioned them. You may share reports with co-investors, LPs, and portfolio companies as part of legitimate investment activities.
6. Data Handling & Confidentiality
We recognise the sensitivity of source code and technical infrastructure data. Our data handling practices include:
- Read-only repository access — no code modification or extraction of full source
- Analysis results are stored encrypted at rest and in transit
- Repository connections can be revoked at any time through your account settings
- Upon account deletion, all associated analysis data is permanently purged within 30 days
- We do not sell, share, or transfer repository data to third parties

7. Service Availability & Modifications
We strive to maintain continuous availability of the Services but do not guarantee uninterrupted access. We may:
- Perform scheduled maintenance with reasonable advance notice
- Modify, update, or enhance the scoring algorithms and analysis methods
- Add or remove features and integrations
- Suspend service in response to security incidents or infrastructure failures
Material changes to the Services that impact your use will be communicated via email or in-app notification with reasonable notice.
8. Disclaimers & Limitation of Liability
No Investment Advice: Sprinno provides technical risk analysis only. Reports, scores, and findings are informational and do not constitute investment advice, legal counsel, security certifications, or compliance attestations. Investment decisions remain solely your responsibility.
No Guarantee of Completeness: While our analysis is deterministic and repeatable, no automated system can identify every possible risk in a codebase. Sprinno complements — but does not replace — professional judgment.
AS-IS Basis:The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Liability Cap:To the maximum extent permitted by applicable law, Sprinno’s total liability for any claims arising from or related to the Services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Sprinno, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your connection of repositories without proper authorisation; or (d) your infringement of any third-party rights.
10. Termination
Either party may terminate these Terms at any time:
- You may terminate by deleting your account or by written notice to us
- We may terminate or suspend your access if you breach these Terms, engage in prohibited conduct, or if required by law
Upon termination, your right to access the Services ceases immediately. We will delete your data in accordance with our data retention policies (within 30 days of account deletion). Sections 5, 6, 8, 9, and 11 survive termination.
11. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Kampala, Uganda, unless otherwise required by applicable consumer protection law.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or through in-app notifications at least 14 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
